THIS AGREEMENT is dated the xxth January 20xx and made between

 
(1)        THE INTERNATIONAL FEDERATION FOR INFORMATION TECHNOLOGY AND TRAVEL & TOURISM (“IFITT”) and
 
(2)        IFITT Chapter (“IFITT xxx”).
 
UNDERTAKING
A       The parties will co-operate to promote the IFITT philosophy, activities and products at country/regional level and to gain reciprocal marketing, promotion and development benefits.
 
IT IS HEREBY AGREED THAT
 
1.       IFITT Chapter will:
 
·         Promote the IFITT philosophy, strategy and mission statement, as defined in the IFITT Marketing Plan: “IFITT is the leading independent global community for the discussion, exchange and development of knowledge about the use and impact of new information and communication technologies (ICT) in the travel and tourism industry”.
 
·         Respect and follow the IFITT Ethics Charter, as stated in the IFITT Marketing Plans.
 
·         Promote IFITT activities and products (e.g. ENTER Conference, HITA conference, and so on) locally, and in particular conduct the following activities. All activities need to be agreed in advance with IFITT, and all promotional and sales activities have to be co-ordinated in advance with the IFITT Marketing Team.
    • Create a local network involving the travel & tourism industry, TMT (technology, media and telecommunications) sectors, and academia.
    • Provide these organisations and individuals with information about IFITT and IFITT Chapter activities and products.
    • Promote and arrange tours to the annual ENTER conference and HITA conference).
    • Provide the IFITT Secretary with leads regarding possible new IFITT members.
    • Provide the IFITT Secretary with addresses of local press, newsgroups, etc. which can be included in central IFITT distribution lists.
 
  • Develop IFITT Chapter local activities to raise awareness of IFITT, and the relationship between IT and travel & tourism, and in particular conduct the following activities. All activities need to be agreed in advance with IFITT, and all promotional and sales activities have to be co-ordinated in advance with the IFITT Marketing Team.
    • Organise own workshops and small conferences, also in co-operation with other local partners.
    • Issue local press releases about these activities.
    • Organise local sponsors and funding.
    • Maintain and promote the IFITT Chapter section within the IFITT web site, providing updated information on any new event, activity, etc.
  • The IFITT Chapter Director will:
    • By the time of the ENTER conference, inform IFITT by means of a short summary report about the main activities IFITT Chapter intends to carry out during the following 12 months.
    • By the time of the ENTER conference, send a short report to IFITT describing goals and successes achieved, and problems encountered, during the past 12 months.
 
2.       IFITT will:
  • Increase IFITT Chapter awareness of IFITT philosophy, activities and products.
  • Strengthen IFITT Chapter participation and retention.
  • Support IFITT Chapter activities and initiatives, especially those devoted to increase IFITT and IFITT Chapter members.
  • Promote the development of synergies between IFITT Chapter and other IFITT Chapters.
  • Provide IFITT material to IFITT Chapter to use in their activities.
  • Involve IFITT Chapter in promotional activities.
  • Involve IFITT Chapter in the organisation of the ENTER Conference.
  • Create a consistent, global set of IFITT Chapter brands.
  • Include IFITT Chapter brand and details in local ENTER programme mailings where sensible from a cost perspective.
 
 
3.       IFITT Chapter Restrictions:
 
  • All IFITT Chapter marketing and promotional activities need to be co-ordinated with the central IFITT Marketing Team in advance, as IFITT global marketing strategies overrule IFITT Chapter marketing activities.
  • IFITT Chapter is not authorised to conduct international activities in name of IFITT, without prior IFITT approval, in accordance with the IFITT rules.
  • IFITT Chapter is not authorised to act as consultant for public or private sector enterprises without prior IFITT approval, in accordance with the IFITT Ethics Charter.
  • IFITT Chapter cannot operate a separate web site and cannot use a separate brand.
 
 
4.       IFITT Chapter Constitution:
 
·         Before a Chapter can be set up, it has to prove to have at least 10 IFITT members. If numbers fall below 10 during the course of this contract, for more than 3 consecutive months, IFITT has the right to terminate this contract.
·         The IFITT Chapter Board and IFITT Chapter Director will be elected every three years at the IFITT Chapter Annual General Meeting by IFITT Chapter members.
·         The IFITT Chapter Board reports to the IFITT Chapter Director, who in turn is accountable to the IFITT President.
·         A representative of IFITT Chapter Directors will be elected every three years by IFITT Chapter Directors. He/ she will represent IFITT Chapters at IFITT Board meetings.
 
 
5.     IFITT Chapter Membership Fee Structure and Benefits:
 
  • While all IFITT members join IFITT (rather than IFITT Chapter), they also automatically become member of IFITT Chapter if their mailing address falls within the IFITT Chapter area.
  • All membership fees will be paid to IFITT. The IFITT Chapter may charge additional membership fees directly to its members. These fees are optional but have to be agreed in advance with IFITT.
  • The IFITT Chapter can keep all income generated locally through the organisation of activities aimed at raising awareness of IFITT (workshops, regional conferences, etc.. See art. 1)
  • IFITT Chapter members enjoy all services and benefits enjoyed by IFITT members, in addition to further benefits that may be provided by IFITT Chapter. All further IFITT Chapter benefits have to be agreed in advance with IFITT.
  • The IFITT Chapter Director has free entrance to the ENTER Conference and, unless specified otherwise, to all other activities organised by IFITT (e.g. workshops).
 
6.     This Agreement is valid for two years and renewable should Chapter is successful.
 
7.     The parties agree to be bound by the terms of this Agreement with immediate effect. The Agreement will remain in force until formally cancelled. Either of the parties can cancel this Agreement giving notice, in writing, of at least three full calendar months.
 
8.     This Agreement is signed by the IFITT President and IFITT Chapter Director shortly after his/her election.
 
9.     IFITT is the sole copyright holder of all IFITT Chapter material. If this Agreement is cancelled, IFITT Chapter has to pass all IFITT Chapter materials (such as member details, web site information and passwords, marketing material, etc.) to IFITT by no later than the date of termination of this Agreement.
 
10. Amendments and additions to this Agreement require the prior written agreement of both parties. Should any omissions in this Agreement become apparent, or should amendments be required, all parties commit to amend this Agreement as appropriate.
 
11. This Agreement supersedes and replaces all previous formal agreements made between the parties.
 
12. This Agreement shall be governed in accordance with the laws of Austria and the parties hereby submit to the non-exclusive jurisdiction of the Austrian Courts.
